Summary

Aurizon Holdings Ltd (Aurizon) has entered into a sale agreement with various entities of Macquarie Asset Management (MAM), on behalf of MAM’s funds, and PGGM Infrastructure Fund, to acquire 100% of One Rail Australia Holdings LP (One Rail), a South Australian limited partnership that owns the One Rail business.

As part of the transaction, Aurizon has offered a court enforceable undertaking under section 87B of Competition and Consumer Act 2010 to divest the entirety of One Rail’s East Coast Rail business by way of sale or by demerger that will establish an ASX-listed entity. The divested East Coast Rail business will include all of One Rail’s assets, operations, and contracts on the east coast, including the entirety of its coal haulage operations in the Hunter Valley in New South Wales and its coal haulage operations in Queensland.

On 9 June 2022, the ACCC published a Statement of Issues outlining preliminary competition concerns in relation to the proposed acquisition. The ACCC also conducted market consultation on a draft proposed s87B undertaking.

On 14 July 2022, the ACCC decided not to oppose Aurizon’s proposed acquisition of One Rail after accepting an updated s87B undertaking provided by Aurizon.
