Market definition

The ACCC adopted narrow markets to assess the proposed acquisition, these being the separate national markets for the production and wholesale supply of (i) each relevant category of spirits (e.g rum, scotch, vodka etc); (ii) beer; and (iii) ready to drink alcoholic beverages (RTDs). In adopting these narrow markets, the ACCC considered that if competition concerns did not arise in these markets then they were unlikely to arise in broader markets.

Competition analysis

1. Spirits
Post acquisition, Lion Nathan would have gained a minimal, if any, increase in market share in any spirits market. Consequently, the ACCC concluded that competition concerns did not arise in the markets for any relevant category of spirits.

2. Beer
In the national beer market, Lion Nathan would have gained a minimal increase in market share. However, given the likelihood of Foster's ability to constrain Lion Nathan, the ACCC considered that competition concerns did not arise in the national beer market.

3. RTDs
The proposed acquisition would only marginally change market concentration in the RTD market. Further, given the presence of several significant suppliers of RTDs in Australia, for example, Diageo, Maxxium and Foster's and the dynamism and likely continuing growth of the RTD market, the ACCC concluded that competition concerns would not arise in the national RTD market.
