Summary

Medibank Private Limited (Medibank) proposed to acquire McKesson Asia Pacific Limited from McKesson Corporation (McKesson). Medibank and McKesson supplied certain health management services to a range of government, private health insurers and/or corporate customers. Health management services encompass programs designed to promote health and wellbeing and to prevent and manage chronic health conditions.

Market definition

The ACCC did not consider it necessary to form a concluded view in relation to market definition. However, for the purpose of conducting this review, the ACCC considered the proposed acquisition in the context of:
(i) the national market for the supply of health management services; and
(ii) state-based markets for the supply of private health insurance.

Competition analysis

The ACCC concluded that the proposed acquisition was unlikely to result in a substantial lessening of competition in any relevant market.

In relation to the national market for the supply of health management services, the ACCC concluded that:
- there appeared to be a number of alternative suppliers of health management services which would be likely to pose an effective competitive constraint on the merged firm;
- there was evidence of sufficient new entry and expansion in the supply of health management services and the market was likely to grow in the foreseeable future; and
- there appeared to be viable opportunities for acquirers of certain health management services to by-pass the merged firm by vertically integrating into the supply of those services or sponsoring new entry and expansion.

In relation to the state-based markets for the supply of private health insurance, the ACCC concluded that it appeared unlikely that the merged firm would have an ability and incentive to foreclose rival private health insurers by restricting access to health management services and/or raise rivals' costs, particularly in light of a number of alternative providers of these services which would be likely to pose an effective competitive constraint on the merged firm.
